These Terms of Use (the “Terms”) are an agreement between ORO Health Inc, (which may be referred to throughout these Terms as “ORO Health”, “Us”, “Our” and “We”) and You, the client, who engages with Us for the provision of Platform Services to You.  You may also be referred to as “Client”, “Your” and “Yourself”.  These Terms govern Your use of the Platform Services provided by Us and any third party which offer services via Our platform.

ORO Health is a platform enabling You to provide medical, telemedicine, and/or telehealth services to end users who are Your Customers (the “Platform Services”). ORO Health does not provide health or medical services.   We shall not be liable for professional advice, medical or health services You provide using the platform.   We do not make any representations to Your Customers regarding Your skill, nor of the services provided by You to Your Customers.

By using the Platform Services, You consent to Our processing of Your information and Our Privacy Policy.  The Platform Services provided by Us respect and uphold patient confidentiality with regards to protecting Your Customers’ health information as further detailed in Our privacy policy.  We require You to request Your Customers’ express consent, via Your web portal, to the release of their health information to You in order for You to provide Your Customers health related services, medical, telemedicine and telehealth through the platform.

Client Acknowledgement

You acknowledge the risks of the Platform Services, which We consider very low, but which may include:

  • Delays in communication due to equipment deficiency or failure

  • Security protocols may fail which may cause a breach of Your information

Your information will be processed and securely maintained by ORO Health, which uses reasonable security protocols to protect the confidentiality of Your information and Your customers’ information, and safeguards data to ensure its integrity against intentional or unintentional access.

Data Usage by ORO Health Inc

To access the Platform Services You will create an account on the platform which will grant You access to provide services to Your Customers.  We  will collect basic contact information, health information, details regarding the device Your Customers use to connect to the platform and non-health related information Your Customers provide which may originate from third party sources (all such information shall together be referred to as “Information”).   For a detailed list of Information collected and how it is used, please review Our Privacy Policy.

We will use the Information collected to provide You access to a secure patient portal where Your Customers may communicate directly with You and provide You their health information; and where We will maintain Your Customers’ Information for Your use, analysis, system improvements and maintenance.  For further details regarding how Your and Your Customers’ Information is used by Us, please review Our Privacy Policy.

We will share device related information with Our staff and third-party contractors who assist in providing the Platform Services.  We shall undertake reasonable security measures to keep Your basic contact information and Your Customers’ personally identifiable information confidential, and minimize any association of such personally identifiable information with Your Customers’ health information to ensure protection of their privacy from individuals who are not in a need-to-know position.

Third Parties

You will have unique access to Your Customers’ Information in the platform, provided Your Customers consented to You being allowed to offer them Your health services.  If Your Customers consented to receiving health services from You via electronic communication, You shall be able to communicate with Your Customers via the secure patient portal.  Any additional services provided or offered by You shall be subject to Your own terms of use and privacy policy, which must not contradict Our privacy policy or these terms and conditions.

Usage by Clients

You are being provided a limited, non-exclusive, non-transferable and non-sublicensable license to use the Services as described herein.  This license will automatically terminate when the Platform as a Service Agreement between Us and You terminates.

By using the Services, You agree not to:

  • provide false information when using the Platform Services;

  • use the account for another Physician or Health Care Provider;

  • transmit Information which infringes on the rights of others, is defamatory, obscene, fraudulent, harassing, threatening or hateful;

  • do anything to modify, recompile, reverse engineer, disassemble, create derivative works of any of the software, or harvest content or personal information; 

  • do anything which may impose a disproportionately large load on Our network or infrastructure; 

  • use any device, software or routine to interfere with the proper provision of the Platform Services or attempt to test the vulnerability of the platform or breach the security of any system or network used by Us; 

  • engage in any other conduct which restricts or inhibits any person from using or enjoying the use of the Platform Services; and 

  • make any content from Us available to any third party, which includes translating, transferring, selling, leasing, licensing or copying the content.

Intellectual Property Rights

The Platform Services are protected under copyright laws of Canada and are owned by ORO Health.  All trademarks, trade names, slogans, designs and service marks, whether registered or not, are the sole property of ORO Health.  The use or misuse of these marks or any materials, except as so authorized, is expressly prohibited and nothing herein shall imply a license or agreement of any nature between You and Us for the right to patent or use these marks.

Troubleshooting or Complaints

Should You have any difficulty in using the platform or patient portal, please contact Us at [email protected] for assistance.  If Your Customers wish to exercise any of their rights related to the use of their Information, such as the right to access Information or have Information deleted or corrected please refer them to Our privacy policy or have them contact us at [email protected] 

Limitation of Liability, Warrants, Indemnification

You acknowledge You are using the platform at Your own risk and the Platform Services are provided “as is” without warranties of any kind. Further, We make no representation or warranty regarding the health services You provide Your Customers who also use the platform and We recommend You provide Your Customers Your own terms and conditions and privacy policies to inform them of Your representations and warranties for the services You offer.

We make no representation as to up time or of the platform being error or virus free.  In no event will We, Our subsidiaries, affiliates, licensors, suppliers, directors, shareholders, officers, employees, representatives, subcontractors or agents be liable for any direct or indirect, special, incidental, consequential or punitive damages, lost profits or other damages arising in connection with Your use of the Services, any interruption in availability of the Services, delay in operation or computer virus, loss of data, misuse, manipulation or other use which effects the Platform Services or the data collected through the Platform Services, even if one or more of them has been advised of the possibility of such damages or loss.

You acknowledge We are not engaged in providing medical or health related services and therefore may not be liable for any medical malpractice.

You shall indemnify, defend and hold ORO Health, its shareholders, directors, employees, representatives, agents, suppliers or subcontractors harmless from any damages and liabilities related to Your use of the Platform Services and any alleged violation by You of these terms.

General Provisions

The Platform Services and these Terms shall be governed and construed in accordance with the laws of the province of Quebec and Canada without regard to principles of conflicts of law.  You agree, any claim or dispute against Us arising out of or relating to the Platform Services must be resolved as detailed in the Platform as a Service Agreement.

These Terms, the privacy policy and Your Platform as a Service Agreement constitute the entire agreement between You and ORO Health.  In the event any provision of these Terms is held invalid or unenforceable it will not affect the validity or enforceability of the remaining provisions and will be replaced by an enforceable provision which reflects the intention of the underlying provision.  Our failure to enforce any provisions of these Terms or respond to a violation by any party does not waive Our right to subsequently enforce any terms or conditions of the Terms or respond to any violations.  Nothing contained herein is in derogation of Our right to comply with governmental, court or law enforcement requests or requirements relating to Your use of the Platform Services.
